Terms of Service
Last updated: January 2025
1. Services
A-Line Services provides software development, infrastructure consulting, and related technology services. The specific scope, deliverables, and terms of each engagement are defined in individual project agreements or statements of work.
2. Engagement Process
All engagements begin with a discovery consultation. Following discovery, we provide a detailed proposal including:
- Scope of work and deliverables
- Timeline and milestones
- Investment and payment schedule
- Terms and conditions
Work commences upon written acceptance of the proposal and any required initial payment.
3. Intellectual Property
Unless otherwise agreed in writing, upon full payment, clients receive full ownership of all custom code and deliverables created specifically for their project.
A-Line Services retains rights to general-purpose tools, libraries, and methodologies that may be used across multiple engagements.
4. Confidentiality
We treat all client information as confidential. We do not disclose client information, project details, or deliverables to third parties without explicit written consent, except as required by law.
5. Payment Terms
Payment terms are specified in individual project agreements. Standard terms include:
- Invoices payable within 14 days
- Milestone-based payments for larger projects
- Retainer arrangements for ongoing work
6. Project Changes
Changes to project scope are managed through a change request process. Material changes may require revised timelines and pricing, which will be documented in writing before work proceeds.
7. Warranties
We warrant that deliverables will substantially conform to agreed specifications. Specific warranty terms and support periods are defined in individual project agreements.
8. Limitation of Liability
To the maximum extent permitted by law, our liability is limited to the fees paid for the specific services giving rise to the claim. We are not liable for indirect, consequential, or punitive damages.
9. Termination
Either party may terminate an engagement with written notice as specified in the project agreement. Upon termination, clients receive all work completed to date for which payment has been made.
10. Governing Law
These terms and all engagements are governed by Belgian law. Any disputes shall be resolved in the courts of Belgium.
